The Commission is a non-profit legal entity operating in the public interest, consisting of representatives from:

• NGOs representing the interests of participants in the capital market;
• National-level employer organizations;
• Regulated capital markets;
• Publicly traded companies with a strong reputation, expertise, and willingness to participate in the Commission’s work;
• The academic community with proven interest and expertise in corporate governance

The founders of the Commission are experts from academia and business who were members of the working group for the creation of the Bulgarian National Code for Corporate Governance.

The Supreme Body of the Commission is the General Assembly. The Governing Body of the Commission is the Governing Board. The NCGC is represented and its operational work is managed by the Chairman of the Governing Board, who is elected from among the members of the Board for a term of 3 years.
